StreamExotics LLC Modeling Agreement

Terms

This Agreement shall commence upon Performer's proper submission of the Model Application and all required information and documentation and StreamExotics LLC review and approval of Performer's submission. This Agreement shall remain enforceable until terminated by one of the parties. The Performer will have the right to terminate this Agreement by providing written notice to StreamExotics LLC. StreamExotics LLC may terminate this Agreement and may cancel Performer's account at its complete sole discretion for any reason whatsoever, including but not limited to: (1) Performer's breach of or non-compliance with any term or condition of this Agreement; (2) Performer's acts or omissions constituting dishonesty, fraud, misrepresentation, theft or breach of confidentiality; (3) Performer's acts or omissions that impair StreamExotics LLC or any of StreamExotics LLC related entities' business, goodwill, or reputation; or (4) Performer's conviction of, or plea of no contest to, a crime constituting a felony or gross misdemeanor under local, state or federal law or involving fraud, dishonesty, or moral turpitude which adversely affects StreamExotics LLC or any of its related entities.

PERFORMER UNDERSTANDS AND AGREES THAT STREAMEXOTICS LLC MAY SET OFF AGAINST ANY MONIES OWED TO PERFORMER ANY LIABILITY, DAMAGES, COSTS OR EXPENSES INCURRED BY STREAMEXOTICS LLC ARISING FROM OR RELATING TO PERFORMER'S BREACH OR FAILURE TO PERFORM ANY TERM OR CONDITION OF THIS AGREEMENT.

Revenue

StreamExotics LLC agrees to pay the Performer monies in the amount of the Performer percentage of all live chat sales generated by that Performer via weekly checks, direct deposit(where available) to the information provided to StreamExotics by the Performer contained in this Agreement, once a $100 Threshold has been reached. Subject to the terms and conditions of this Agreement, Performer may use this web interface to generate revenue for live performances, and Performer agrees to provide content to StreamExotics LLC, as provided below. Performer will have the right to set up pricing at your discretion, provided that Performer complies with the minimum price as determined by StreamExotics LLC. StreamExotics LLC agrees to pay Performer monies in the amount of the Performer percentage 60% for US based Performers and 60% for Non-US based Performers, of all live chat sales generated by Performer via check (US Only) , Direct Deposit (us only), or payment to Paypal based on the information and documents provided to StreamExotics LLC by Performer. The performer must be paid directly to an account or check made out in their own name. No Payments will be made to any account that is not in the Performer's legal name.

Expiration of Earnings

The performer agrees that any earnings unpaid for a period greater than 180 days are void. Any checks not deposited after 180 days are void. All earnings regardless of reason held are forfeit after 180 days from week of earning.

Age Verification

Performer represents and warrants that Performer has reached the age of 18 (19 in Canada), and that the identification ("I.D.") provided to StreamExotics LLC is valid and accurately reflects and represents the fact that Performer has reached the age of 18 (19 in Canada).

AGE VERIFICATION IS REQUIRED BY LAW AND WILL NOT BE OVERLOOKED. AGE DOCUMENTS MUST BE SUBMITTED FOR ALL PERFORMERS. By appearing live you are verifying that you have reached the age 18 (19 in Canada) and have submitted all proper documentation and age verification forms to perform on the website. Only individuals who have submitted proper documentation and have been approved to perform may appear on cam.

Termination

StreamExotics LLC may terminate this agreement at any time without prior notice to the performer. If the Performer is convicted of any crime or offense, fails or refuses to comply with the policies or direction of the company, the performer may be suspended or terminated at any time without payment for that period of violation. Performers may terminate this agreement at any time by giving written notice to StreamExotics LLC. If the Performer terminates this agreement the Performer agrees that they cannot work with any StreamExotics LLC affiliated network, for a period of no less than 6 months from the period of the last login date.

Photographs and Video

All photographs and video taken of the performer during any paid or non-paid modeling session, or posted to the Performer’s profile, shall be the property of StreamExotics LLC and performer expressly authorizes StreamExotics LLC to use such photographs and video in advertisements, and other promotional medial and materials. Performer expressly waives his or her right to ownership of the photographs.

Related Entities

Performer agrees to grant Company rights to place pictures of performers on any affiliated websites, along with performers' display name(s).

Independent Contractor

Performer is and will remain an independent contractor in his or her relationship to StreamExotics LLC. StreamExotics LLC Shall not be responsible for withholding taxes with respect to performers compensation. Performers have no claim against vacation pay, sick leave, retirement benefits, social security, worker's compensation, health or disability benefits, unemployment insurance benefits, or employee benefits of any kind.

Performer shall not be deemed or treated as an employee of StreamExotics LLC for any purpose. Nothing contained in this Agreement shall be deemed or construed by the parties to create the relationship of employer and employee, principal and agent, co-venturers, partners, or any other type of business association, other than as parties to this Agreement. StreamExotics LLC will not pay or make any payments on behalf of or for the benefit of Performer related to Social Security, Medicare, FICA, VAT taxes, federal or country taxes, state taxes, local taxes, workers compensation, unemployment premiums or insurance, or any other payments. Performer shall have no claim against StreamExotics LLC for any wages, vacation pay, sick leave, Social Security, workers compensation, unemployment benefits, or any other benefits of any kind. Additionally, Performer will not be eligible for any retirement benefits, 401(k) benefits, profit sharing benefits, or any other types of benefits to be paid or owed by StreamExotics LLC.

Accepting This Agreement

By checking the box on the Model Application page and all the required information and documents, Performer hereby confirms that Performer agrees to each and every term and condition of this Agreement, and that Performer has carefully read and understands each and every term and condition of this Agreement, and that Performer knowingly and voluntarily chooses to enter into this Agreement.

Amendments/Modifications Of Agreement:

The terms and conditions of this Agreement may be amended or modified by StreamExotics LLC at the sole discretion of StreamExotics LLC without notice to Performer/Agent. Any such amendment or modification will occur by StreamExotics LLC placing the amended or modified version of this Agreement on this website.

Prohibited Activities:

The Content Provider agrees not to engage in or submit any content that:

Violates any applicable laws or regulations.

Depicts or promotes illegal activities, including but not limited to non-consensual acts, bestiality, incest, or any form of child exploitation.

Infringes upon the intellectual property rights of others.

Contains malware, viruses, or any harmful code.

Consent Requirements:

The Content Provider must obtain and maintain written consent from all individuals depicted in the content, which includes:

Consent to be depicted in the content.

Consent for the public distribution of the content and its upload to the StreamExotics website.

If the content is available for download by users, consent for the content to be downloaded.

These consents must be:

Specific to each piece of content.

Obtained prior to the creation or distribution of the content.

Retained and provided to StreamExotics upon request.

Age Verification

The Content Provider is responsible for verifying the identity and age of all individuals depicted in the content to ensure that all persons are adults (18 years of age or older) at the time of production. This includes:

Collecting government-issued photo identification from each individual.

Maintaining records of age verification documents.

Providing these records to StreamExotics upon request.

Record-Keeping Compliance

The Content Provider must comply with all applicable record-keeping requirements, including but not limited to 18 U.S.C. § 2257 and 28 C.F.R. Part 75. This entails:

Maintaining records of identification and consent for all individuals depicted.

Designating a Custodian of Records responsible for maintaining these documents.

Providing the location and contact information of the Custodian of Records to StreamExotics.

Indemnification

The Content Provider agrees to indemnify, defend, and hold harmless StreamExotics, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of or related to:

The Content Provider's breach of this agreement.

Any content submitted by the Content Provider.

Violations of applicable laws or regulations.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings, whether written or oral.

IN WITNESS WHEREOF, the parties have executed this Content Provider Agreement as of the Effective Date.

Section X: Public Use & Display of Content and Likeness

By checking the box of this Agreement, the Model expressly grants StreamExotics the non-exclusive, worldwide, royalty-free right and license to use, reproduce, distribute, publicly display, publicly perform, and otherwise exploit, in whole or in part, any content uploaded or submitted to the StreamExotics platform, including the Model’s likeness, voice, name, performance, and any identifying characteristics contained therein.

The Model affirms and agrees to the following:

1. Voluntary Consent: I voluntarily consent to the use and public display of my likeness, image(s), and video content on the StreamExotics platform and its affiliated promotional channels.

2. Promotional Use: I understand and agree that my content may be used for promotional and marketing purposes on and off the platform.

3. Separate Affirmation Required: I acknowledge that this consent must be separately affirmed during account registration or before uploading any content, and StreamExotics will retain a timestamped record of such consent for legal and compliance purposes.

4. Right to Withdraw: I understand that I may withdraw this consent in writing, subject to StreamExotics' Takedown and Appeals Policy, and such withdrawal will apply only to future uses and not retroactively.

5. Consent to Distribution & Downloads: If my content is made available for download by users, I specifically consent to such downloads as part of the public distribution rights granted herein.

The Model further agrees that this section is binding and enforceable, and is entered into knowingly and voluntarily as a condition of participating as a content provider on the StreamExotics platform.
